Referral Partner Agreement

1. Introduction

This Referral Partner Agreement ("Agreement") is entered into between EZPZ Insurance Services ("EZPZ," "we," "us," or "our") and the individual or entity applying to become a referral partner ("Partner," "you," or "your"). By applying to join the EZPZ Referral Partner Program and clicking "I Agree" or submitting your application, you acknowledge that you have read, understood, and agree to be bound by this Agreement.

2. Program Overview

The EZPZ Referral Partner Program allows approved partners to earn commissions by referring potential customers to EZPZ for life insurance products. Partners will receive a unique referral link to track their referrals and commissions.

3. Eligibility Requirements

To be eligible for the Referral Partner Program, you must:

• Be at least 18 years of age
• Have a valid tax identification number or equivalent in your jurisdiction
• Not be an employee of EZPZ or any affiliated company
• Comply with all applicable laws and regulations in your jurisdiction
• Maintain accurate and current contact information
• Have no prior violations of EZPZ terms of service

4. Commission Structure

4.1 Initial Commission

Partners will earn a commission on the first-year premium of each policy successfully placed through their referral. Commission rates are determined based on the partner tier and product type, ranging from 15% to 25% of first-year premiums.

4.2 Trail Commission

Partners may also earn ongoing trail commissions for the life of referred policies, subject to the policy remaining in force and premiums being paid. Trail commission rates are typically 5-10% of renewal premiums.

4.3 Payment Terms

Commissions are paid monthly, typically within 30 days following the end of each calendar month. Minimum payout threshold is $100 USD (or equivalent in local currency). Payments below the threshold will be carried forward to the next month.

5. Partner Obligations

As a Partner, you agree to:

• Accurately represent EZPZ products and services
• Not make false or misleading claims about coverage, pricing, or benefits
• Disclose your affiliate relationship when promoting EZPZ
• Not engage in spam, unsolicited communications, or aggressive marketing tactics
• Comply with all applicable advertising and marketing laws
• Not bid on EZPZ trademarks or brand terms in paid advertising
• Direct all customer service inquiries to EZPZ support channels
• Maintain confidentiality of any proprietary information shared

6. Prohibited Activities

Partners are expressly prohibited from:

• Creating fake or misleading websites that impersonate EZPZ
• Using EZPZ logos or trademarks without written permission
• Making unauthorized price guarantees or coverage promises
• Referring themselves or immediate family members
• Sharing referral links through illegal or unethical channels
• Engaging in any activity that could damage EZPZ's reputation
• Cookie stuffing, click fraud, or other manipulative practices

7. Intellectual Property

EZPZ grants Partners a limited, non-exclusive, revocable license to use approved marketing materials and brand assets solely for the purpose of promoting EZPZ products. All intellectual property rights remain with EZPZ. Partners may not modify, alter, or create derivative works from EZPZ materials without prior written consent.

8. Termination

8.1 Termination by Either Party

Either party may terminate this Agreement at any time for any reason with 30 days written notice. Partners may terminate by contacting EZPZ support or through their partner dashboard.

8.2 Immediate Termination

EZPZ reserves the right to immediately terminate this Agreement and withhold pending commissions if a Partner violates any term of this Agreement, engages in fraudulent activity, or acts in a manner that damages EZPZ's reputation or business interests.

8.3 Effect of Termination

Upon termination, Partners will receive payment for any properly earned commissions up to the termination date, subject to verification. Trail commissions on existing policies may continue at EZPZ's discretion.

9. Limitation of Liability

EZPZ's total liability to any Partner under this Agreement shall not exceed the total commissions paid to that Partner in the 12 months preceding any claim. EZPZ shall not be liable for any indirect, incidental, special, or consequential damages.

10. Independent Contractor Status

Partners are independent contractors and not employees, agents, or representatives of EZPZ. Partners are responsible for their own taxes, insurance, and business expenses. This Agreement does not create any employment, partnership, joint venture, or agency relationship.

11. Modifications

EZPZ reserves the right to modify this Agreement, commission rates, or program terms at any time. Partners will be notified of material changes via email at least 30 days in advance. Continued participation in the program after changes take effect constitutes acceptance of the modified terms.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflicts of law principles. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings, whether written or oral.
